Terms of service

These terms are an agreement between you and Goods Media LLC ("Assembly," "we," "us"). By creating an account or using Assembly, you agree to them. Please read the parts about events, payments, and liability closely — they affect your legal rights.

The service

Assembly helps communities plan events, send invitations, manage RSVPs, and collect event costs. These terms cover theassemblyapp.com, the web app at app.theassemblyapp.com, and any Assembly mobile apps we publish.

Who can use Assembly

You must be 18 or older to create an account. If you're creating an account on behalf of an organization, you're confirming you have the authority to bind it to these terms.

Your account

Keep your login to yourself, and keep your account details accurate. You're responsible for what happens under your account. Tell us promptly at support@theassemblyapp.com if you think someone else has access to it.

Hosts run events — Assembly doesn't

This is the most important thing on this page. Assembly is the tool people use to organize gatherings. We are not the host, organizer, sponsor, or supervisor of any event listed on Assembly, and we don't inspect venues, vet hosts or guests, or supervise what happens when people meet.

If you host, the event is yours: its safety, its accuracy, its permits and insurance if it needs them, its compliance with local law, and everything you promised the people who registered. If you attend, you're deciding for yourself whether an event is right for you.

Meeting people in person

Assembly exists to get people into the same room, and real life carries real risk. You attend events at your own risk. Use the same judgment you'd use for any invitation from someone you've just met: tell someone where you're going, and leave if something feels wrong. Assembly is not responsible for the conduct of any host, guest, or third party, whether online or in person.

Payments, fees, and refunds

Payments are processed by Stripe under Stripe's own terms — Assembly never handles your card details. Prices, spot types, and what's included are set by the host, not by us. Assembly's service fee, if one applies, is shown before you pay.

Refunds are the host's responsibility and follow the terms of the event you registered for. One thing we handle automatically: cancelling an event through Assembly refunds paid registrations and notifies everyone who registered. If something goes wrong with a payment, start with the host, and write to us if you can't resolve it.

Getting paid as a host

To charge for events you connect a Stripe account, and payouts are governed by your agreement with Stripe. You're responsible for the taxes on what you earn. We may hold or reverse a payout where there's fraud, a chargeback, or a violation of these terms.

Your content

You own what you post. You give us a non-exclusive, worldwide, royalty-free license to host, store, and display it for the purpose of running Assembly and showing your content to the people you shared it with. That license ends when you delete the content, except where it's already been shared with others or we're required to retain it.

Don't post content you don't have the rights to, and don't post someone else's personal information without their agreement.

Acceptable use

Use Assembly for genuine community gatherings. Don't use it to:

  • spam people, or invite people who haven't agreed to hear from you
  • defraud anyone, or charge for events you don't intend to hold
  • harass, threaten, or endanger anyone
  • post unlawful, hateful, or sexually explicit content
  • host events that are illegal or that put attendees at risk
  • scrape, reverse-engineer, or disrupt the service
  • impersonate someone else or misrepresent your affiliation

Suspension and termination

We can suspend or close accounts that break these terms, and we'll tell you why where we reasonably can. You can close your account any time by emailing us. Events you've already hosted or joined may remain visible to the people who were part of them, and anything we're required to keep, we keep.

Our intellectual property

Assembly's name, logo, software, and design are ours. These terms don't give you any right to use them beyond using the product as intended.

Third-party services

Assembly connects to services we don't control — Stripe, maps, calendars, and others. Their terms govern their part, and we're not responsible for them.

Disclaimers

ASSEMBLY IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY EVENT LISTED ON ASSEMBLY WILL TAKE PLACE, BE SAFE, OR MEET YOUR EXPECTATIONS.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GOODS MEDIA LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF ASSEMBLY — INCLUDING ANY INJURY, LOSS, OR DAMAGE ARISING FROM ANY EVENT ORGANIZED OR ATTENDED THROUGH ASSEMBLY — WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO ASSEMBLY IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS ($100).

Some states don't allow these limits, so parts of this section may not apply to you. Nothing here limits liability that can't be limited by law.

Indemnification

You agree to indemnify and hold Goods Media LLC harmless from claims, damages, and reasonable legal fees arising out of your use of Assembly, the events you host or attend, the content you post, or your violation of these terms or of anyone else's rights.

Governing law

These terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Maricopa County, Arizona, and you and we each consent to that venue.

Changes

We'll post updates here and note the new effective date. Material changes get an in-app notice. Continuing to use Assembly after a change means you accept the updated terms.

The rest

If any part of these terms is found unenforceable, the rest stays in effect. Our not enforcing something isn't a waiver of it. You can't transfer these terms to someone else; we may transfer them as part of a merger or sale of the business. These terms, plus the privacy policy, are the whole agreement between us.
